These Terms and Conditions ("Terms") form a legally binding agreement between you and NCS Solutions ("NCS Solar", "we", "us", "our"), with its branch office at LGF - 4 Vijay Towers, Behind VK Lawn, IIM Road, Lucknow, Uttar Pradesh 226013. They govern your use of this website and your dealings with us.

These Terms are an electronic record under the Information Technology Act, 2000 and do not require a physical or digital signature. By using this website, or by ticking the acceptance box and submitting any form, you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy and our Disclaimer. If you do not agree, you must not use this website or submit any form.

You may use this website and submit forms only if you are at least 18 years of age and competent to contract under the Indian Contract Act, 1872. If you act on behalf of a business, you confirm that you are authorised to bind that business to these Terms.

NCS Solar offers:

• distribution and supply of solar products — as authorised stockist for Borosil Renewables, Velox and V-Guard, and as reseller for other brands — including solar modules, inverters, batteries and 3–10 kW solar kits;
• hot-dip galvanised mounting structures fabricated to the design provided;
• residential rooftop solar installation, including under PM Surya Ghar: Muft Bijli Yojana;
• commercial and industrial solar projects; and
• regulatory and project consulting.

Product availability, specifications and scope of work are confirmed only in writing at the time of quotation.

Information on this website — including prices, specifications, subsidy amounts, calculator results, images and videos — is provided for general guidance and is an invitation to enquire, not a binding offer. It may change without notice. Please also read our Disclaimer.

• All quotations are valid only for the period stated in them and are subject to stock availability and manufacturer price revisions.
• Prices are exclusive of GST and other applicable taxes unless expressly stated otherwise.
• For installations, the final system size, design and price are confirmed only after a site survey and set out in a written quotation or agreement.
• An order is binding on us only after our written acceptance and receipt of payment as per the agreed terms.
• Delivery and installation timelines are estimates and may vary due to site conditions, approvals or supply.

We help customers with applications under PM Surya Ghar: Muft Bijli Yojana, the Uttar Pradesh state subsidy and DISCOM net metering as a facilitation service. Eligibility, approval, subsidy amounts, disbursement and timelines are decided solely by the relevant government authorities and DISCOMs. NCS Solar does not guarantee approval, the amount of subsidy or the time taken, and is not liable for any rejection, reduction, delay, change, suspension or withdrawal of a government scheme or subsidy.

Solar modules, inverters, batteries and other products carry only the manufacturer's warranty, subject to the manufacturer's terms, and claims are processed as per the manufacturer's procedure. Installation workmanship warranty and service support, including the 5-year service support offered on residential installations, are provided only as set out in your written installation agreement.

Warranties do not cover damage caused by misuse, negligence, unauthorised repair or modification, relocation, work by third parties, theft, fire, lightning, flood, storms, earthquakes, other natural calamities, or events beyond our reasonable control.

Submitting the Channel Partner form is an application only. It does not create a partnership, agency, dealership, franchise or any other business relationship, and does not entitle you to use our name, logo or the brands we represent. Appointment of channel partners is at our sole discretion, subject to verification of the details provided and execution of a separate written agreement.

• Provide true, accurate, complete and up-to-date information in our forms and applications.
• Use this website only for lawful purposes and in accordance with these Terms.
• Not submit another person's details without their authority, or submit false, misleading or fraudulent information.
• Not attempt to interfere with the website, introduce malicious code, gain unauthorised access to it, or copy, scrape or reuse its content for commercial purposes without our written permission.

All content on this website — including text, design, photographs, videos, the calculator and the NCS Solar name and logo — is owned by or licensed to NCS Solutions and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999 and other applicable laws. Brand names and logos of manufacturers such as Borosil Renewables, Velox, V-Guard, Adani Solar, Waaree, Jakson, Luminous, Growatt and Deye are trademarks of their respective owners and are shown only to identify the products we stock or resell. No licence to use any of these is granted to you.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to this website or our products or services is limited to the amount actually paid by you for the specific product or service concerned. We are not liable for any indirect, incidental, special or consequential loss, including loss of expected savings, generation, revenue, business or data, whether caused by weather, shading, grid conditions, changes in electricity tariffs or otherwise.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including your rights as a consumer under the Consumer Protection Act, 2019.

You agree to indemnify and hold harmless NCS Solutions, its proprietor, employees and agents against any loss, claim, penalty or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of this website, or any false, misleading or unauthorised information you submit.

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural calamities, extreme weather, epidemics, fire, strikes, shortages of materials, transport disruption, acts of government or changes in law or government schemes.

Our collection and use of your personal data is governed by our Privacy Policy, which forms part of these Terms.

Any dispute arising out of or in connection with these Terms, this website or our products or services shall first be raised in writing with us, and the parties shall try to resolve it amicably within 30 days.

If the dispute is with a business customer, dealer, channel partner or other person not acting as a consumer, and is not resolved amicably, it shall be finally resolved by arbitration by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Lucknow, Uttar Pradesh, and the proceedings shall be in English.

Nothing in this section limits the right of a consumer to approach a consumer commission under the Consumer Protection Act, 2019, or the Data Protection Board of India in matters of personal data.

These Terms are governed by the laws of India. Subject to the section on Dispute Resolution, the courts at Lucknow, Uttar Pradesh shall have exclusive jurisdiction.

• If any provision of these Terms is held invalid or unenforceable, it shall be enforced to the maximum extent permitted, and the remaining provisions shall continue in full force and effect.
• Our failure or delay in enforcing any right under these Terms does not waive that right.
• Where a signed quotation, purchase order, installation agreement or channel partner agreement conflicts with these Terms, that written document will prevail for the transaction it covers.
